1. Commission, Minimum Payout & Net 30
50 basis points (0.50%) residual on gross processing volume, paid monthly for the life of every merchant you refer that we board. This is 0.50% of the dollars your merchant runs through us each month, not a share of our profit. Example: a merchant processing $100,000/mo pays you $500/mo. Ten such merchants pays you $5,000/mo. Minimum $300 USD accrued before payout. Net 30, commissions earned in a calendar month are paid 30 days after month-end, subject to a valid W-9 on file.
2. Commission Reporting, Audit & Clawback
Monthly statements posted to your dashboard; deemed accepted after 60 days unless you dispute in writing. You may request a source-data audit once per calendar year. Refunded/charged-back transactions produce a clawback offset against your next statement.
3. Portfolio Sale, Right of First Refusal
If you sell your commission portfolio, Holistic Payments has 15 business days to match any bona-fide third-party offer.
4. Non-Exclusivity
You are not restricted from referring merchants to other processors.
5. Non-Poach / No Solicitation
- Merchants we decline: you may not re-introduce them to competing processors for 12 months.
- Merchants that are already our clients: you may not solicit or engage them on behalf of a competing processor, for the duration of their relationship plus 12 months after termination.
6. Confidentiality
Merchant, underwriting, pricing, and processing info are confidential. Survives termination 3 years.
7. Independent Contractor & Taxes
You're an independent contractor. You'll upload your W-9 and payout method from your dashboard after signup, no commissions paid until a valid W-9 is on file. 1099-NEC issued annually if threshold met.
8. Representations & Compliance
You agree to comply with CAN-SPAM, TCPA, and anti-bribery rules, to make no false claims about our services or pricing, and to use contact data lawfully.
9. Marketing & Trademarks
You can say you're a Holistic Payments partner. Use of our name, logo, or marks in marketing materials requires our prior written consent.
10. Term, Termination & Tail
Either party may terminate on 30 days' notice (10 days for material breach). On termination other than for your material breach, you get a 12-month tail on commissions already earned.
11. Notices, Indemnification & Limitation
Formal notices by email (intake@holisticpayments.io / your account email). You indemnify us for your breach or misrepresentations. Our aggregate liability is capped at commissions paid to you in the preceding 12 months. Neither party is liable for indirect or consequential damages.
12. General
Electronic signatures are binding. Agreement may be amended with 30 days' email notice. Severability, no-waiver, and no-assignment-without-consent apply. Governed by Puerto Rico law.
